Our purchase terms and conditions

1. TERMS OF PURCHASE

1.1. These Terms of Purchase apply between Creopack AB (Org. No. 556317–2831) (hereinafter referred to as “Creopack” in this agreement) and the legal entity (hereinafter referred to as “the Customer” in this agreement) upon purchase of the products provided by Creopack.
1.2. The Customer and Creopack are jointly referred to as “the Parties” and individually as “Party”.
1.3. The physical person representing a legal entity in a purchase confirms that they have the authority and right to enter into legally binding agreements with Creopack on behalf of the represented legal entity.

2. ORDERING

2.1. Orders for Creopack's products can be placed via Creopack's website contact form, by phone, or by email: info@creopack.se. Incoming orders will be responded to with a written order confirmation sent to the Customer's provided email address.
2.2. All orders are considered binding from the Customer's side. Orders are binding for both Parties once an order confirmation has been sent by email to the Customer's provided email address. Creopack reserves the right to refuse a Customer's purchase.
2.3. Should a product not be in stock, Creopack will contact the Customer and backorder it. When Creopack receives the backordered item, Creopack will send it to the Customer. If the Customer does not wish to receive the backordered item, the Customer can always contact Creopack via info@creopack.se to cancel it.

3. PRICES

3.1. All prices are in Swedish kronor or Euro and are stated excluding VAT. VAT for products is added for Swedish customers and is currently 25%. Creopack reserves the right for VAT increases and other price changes beyond Creopack's control.
3.2. We apply different delivery terms individually, which will be specified in the quote or order confirmation. The shipping cost will always be shown on the invoice.                                 
3.3. The current prices for the purchased products are stated on the order confirmation, with the reservation that article and freight prices may need to be adjusted from the time of quotation or order, which Creopack will inform the Customer about before fulfilling the order. This can occur due to significant currency differences, changes in fuel prices, raw material prices, energy prices, and customs costs, or other unforeseen cost increases due to global circumstances.

4. PAYMENT

4.1. Payment is made via invoice, and the Customer must provide the invoice's OCR number when paying. Payment terms for Swedish limited companies are 20 days net from the invoice date, unless otherwise specifically agreed. Creopack carries out a customary credit and limit assessment, and upon approval, the purchase is completed. To enable a credit assessment, the Customer must provide their organization number. If the credit assessment is not approved, the order will be paused, and Creopack will contact the Customer for an advance payment.

For all international customers, advance payment is required.
4.2. Invoicing takes place when the delivery is booked.
4.3. The Customer must notify Creopack within a reasonable time if the invoice is incorrect. If this is not done within the payment period, the Customer's right to object to the invoice expires.
4.4. In case of non-payment or delayed payment, Creopack reserves the right to charge interest on arrears at 8% in accordance with the Swedish Interest Act (1975:635) and to charge reminder and collection fees as established in Swedish law and practice.
4.5. Products are owned by Creopack AB until full payment for the product has been received by Creopack. Creopack has the right to reclaim products if payment is not made.

5. DELIVERY

5.1. Normal delivery time is approximately two (2) working days for stock items. Non-stock items have a longer delivery time of approximately 1–4 weeks. Deviations may occur, for example, if the item is out of stock at the factory. In such cases, Creopack will contact the Customer. Creopack cannot be held responsible for delivering sold-out or discontinued products. Creopack shall keep the Customer informed of relevant changes, problems, delays, or anything else that may affect the delivery.
5.2. Creopack has the right to engage subcontractors for the fulfillment of its obligations under this agreement, the provision of products, and to fulfill its legal obligations.

6. DELIVERY DELAY

6.1. If a delivery delay occurs for any reason, Creopack will contact the Customer. Situations may arise that make it impossible for Creopack to fulfill an order, for example, if Creopack's suppliers cannot fulfill their commitments.
6.2. Creopack cannot be held liable for compensation for delivery delays, loss of sales due to delayed or missed deliveries, goods damaged during transport, product defects, or similar.

7. FREIGHT

7.1. Freight charges apply to all orders, unless otherwise stated on the order confirmation.
Creopack generally does not deliver to pick-up points but uses business transport to the Customer's delivery address.
7.2. For unusual locations and special transport requests, such as notification, delivery to a private address, etc., extra costs may be charged retrospectively. Additional charges for futile trips will also be charged retrospectively.
7.3. Once the goods have left the warehouse, the Customer must be available to receive the delivery. If the Customer asks the carrier to store goods for later delivery or if the Customer cannot receive the goods for various reasons, the carrier's terminal storage fee will be charged retrospectively.

8. WARRANTIES

8.1. By purchasing the products provided by Creopack, the Customer agrees that Creopack makes no representations or warranties of any kind, either express or implied, for example, regarding the quality of the products/goods or similar.
8.2. Creopack is also not directly or indirectly responsible for any damage or loss related to certain information or lack of certain information on Creopack's website.
8.3 It is the buyer's responsibility to test that the closure and the bottle/jar are compatible and that they are suitable for the contents, such as fermenting or carbonated beverages.

9. INCORRECTLY ORDERED GOODS

9.1. Incorrectly ordered goods must be returned within 14 days of receipt. They must be in good condition and unused, and the Customer must cover the return shipping cost. Creopack charges a fee of SEK 500 for return handling and a deduction of 30% of the order value for incorrectly ordered goods. Contact Creopack before returning to get assistance with the matter.

10. COMPLAINTS

10.1. Creopack shall forward any complaints and claims from Customers to the manufacturer of the products, engaged subcontractors, or carrier responsible for such defect or deficiency within 10 days of receiving the goods.
10.2. The Customer is hereby informed not to accept / receive goods with visible defects that may have affected the condition of the ordered and purchased products to such an extent that they are unusable. Complaints shall be made directly to the driver and to Creopack via info@creopack.se, who will forward the complaint to the responsible party. Creopack handles the complaint against the factory, and the Customer should therefore complain to Creopack. To be able to complain about damaged goods, an arrival inspection must be made upon delivery. In the event of damaged goods, the shipping note should NOT be signed by the Customer. The driver should note the damage on the shipping note, and the damage should be photographed. Immediately email all information and photos to Creopack for assistance with a new delivery.

11. RESERVATION AND LIMITATION OF LIABILITY

11.1. Creopack reserves against inaccuracies in the content on Creopack's website or in quotes.
11.2. Creopack hereby disclaims, to the extent permitted by applicable law, all liability and compensation for all direct and indirect damages and/or losses incurred by the Customer or any third party in connection with the use of or impediment to the use of the products provided by Creopack, regardless of how the damage arises and regardless of whether the damage is caused by negligence, breach of contract, or otherwise.

12. FORCE MAJEURE

12.1. If the fulfillment of Creopack's obligations is prevented due to circumstances beyond Creopack's control, which Creopack could not reasonably have foreseen at the time of entering into the agreement and whose consequences Creopack could not reasonably have avoided or overcome, this shall constitute grounds for relief, resulting in a postponement of the time for performance and relief from all penalties and claims for damages.
12.2. Events beyond Creopack's control include, among others, the spread of viruses/diseases due to community/global infection and its consequences affecting free movement, the trade market, and transport, labor market conflict, natural disaster, fire, war, mobilization, act of terrorism, unforeseen large-scale military conscription, requisition, seizure, insurrection, riot, or other similar events if the event affects Creopack, Creopack's personnel, or subcontractors to Creopack both outside and within Sweden.

13. COOKIES

13.1. According to the Electronic Communications Act, which came into force on July 25, 2003, all visitors to a website (“users”) must be informed if cookies are used. When someone visits Creopack's website, cookies are stored on the user's computer. These cookies are so-called session cookies and are used to keep track of the user's login (if the user is logged in) and any shopping cart when the user shops. Session cookies are not stored for a long time on the user's computer but disappear when the user closes their browser.
13.2. If the user does not accept the use of cookies, the user can set their browser to automatically deny cookies or to inform the user if a website uses cookies. The user can browse the website without having cookies enabled.

14. PROCESSING OF PERSONAL DATA (GDPR)

14.1. We care about your privacy and process personal data in accordance with current data protection legislation (GDPR).

Personal data is only used for the purpose of handling quotation requests, orders, and customer relationships, and is not shared with third parties without a legal basis.

15. SWEDISH GLASS RECYCLING AND FTI

15.1. As a producer of beverages, food, or other products filled in packaging, you have a responsibility to report and pay for your packaging included in the Swedish recycling process. As Creopack imports packaging into Sweden, Creopack reports to FTI for outer packaging around the goods, such as shrink wrap and cardboard interlayers. For Swedish-produced packaging, the manufacturer reports to FTI for the packaging around the product. As our customer and filler, you are solely responsible for reporting to Svensk Glasåtervinning for glass bottles or glass jars. You also report to FTI for plastic bottles, plastic jars, all different closures, 4-packs and 6-packs cartons, 24-packs boxes, tray packs, etc.

16. DISPUTES AND JURISDICTION

16.1. This agreement shall be interpreted in accordance with Swedish law. Disputes arising from the interpretation or application of these terms and conditions and related legal relationships shall primarily be settled directly between the Parties. If the dispute cannot be resolved through an internal settlement between the Parties, the dispute shall be decided and tried by a general court in Stockholm.

17. MISCELLANEOUS

17.1. Should any provision of this Engagement Agreement or part thereof be found invalid, this shall not mean that the agreement as a whole is invalid. Instead, only that part shall be found invalid, and the Parties shall negotiate new valid terms on the matter.
17.2. Creopack reserves the right to change the terms of these Purchase Terms at any time, without notifying or informing the Customer. Creopack has the right to change prices from time to time and the right to offer additional services and new products at any time, as well as to change the range of products and to cease providing products.
17.3. Any changes to these Purchase Terms apply to purchases made after the amended version of the terms has been published on Creopack's website. The latest version is always published on the website.
